These Terms of Service (“Terms”) govern your use of the website convertbq.com (“Site”) and the services provided by Beed Global, Inc. (“we,” “us,” or “our”). By accessing or using our Site and services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our services.

2. Description of Services

ConvertBQ provides an online tool to convert PDFs and scanned Bills of Quantities into Excel spreadsheets. Our service is designed for construction professionals, including quantity surveyors and tender teams, to streamline document conversion and improve efficiency. We process conversion requests without storing the contents of the uploaded files.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our services. By agreeing to these Terms, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Security

Account Creation: To access certain features, you may be required to create an account and provide accurate, current, and complete information.
Security: You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at victor@getbeed.com if you suspect any unauthorized access to your account.
Accuracy: You agree to update your information as necessary to maintain its accuracy.

5. Payment and Refunds

Pricing: Our pricing plans are detailed on our Pricing Page. By purchasing credits or subscriptions, you agree to pay the applicable fees.
Refund Policy: If the conversion result is not satisfactory, you may request a refund for the remaining credits purchased within 7 days prior to filing a complaint. Please refer to our Refund Policy for full details.
Payment Processing: Payments are processed by trusted third parties such as Stripe. Use of our services constitutes your acceptance of any applicable charges.

6. Use of the Service

Permitted Use: You agree to use the service solely for its intended purpose—converting PDFs and scanned Bills of Quantities into Excel format for construction-related use.
Prohibited Conduct: You shall not misuse the services or help others do so. Prohibited activities include, but are not limited to, attempting to disrupt or impair the service, uploading harmful content, or engaging in fraudulent or illegal activities.
Data Processing: We collect and process data as described in our Privacy Policy. You consent to the collection, use, and sharing of your information in accordance with that policy.

7. Intellectual Property

Our Content: All content on the Site, including text, graphics, logos, and software, is the property of Beed Global, Inc. or its licensors and is protected by applicable intellectual property laws.
Your Content: You retain ownership of any content you upload, provided that such content complies with these Terms. By uploading content, you grant us a non-exclusive, royalty-free license to use, process, and display it solely for providing the conversion service.

8. Disclaimers and Limitation of Liability

No Warranty: Our services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the reliability, accuracy, or availability of the services.
Limitation of Liability: To the fullest extent permitted by law, Beed Global, Inc. shall not be liable for any indirect, incidental, special, or consequential damages, or any loss of profits, revenue, or data arising out of or related to your use of the services.
Service Interruptions: We do not guarantee that the services will be uninterrupted, error-free, or completely secure, and we are not responsible for any interruptions or failures.

9. Third-Party Services

Our service may integrate or interact with third-party services (e.g., Stripe, AWS, Google Cloud, Azure). These services are governed by their own terms and privacy policies. We are not responsible for the practices or content of these third parties.

10. Termination

We may suspend or terminate your access to the services at any time and without notice for conduct that we believe violates these Terms or is harmful to other users or our business interests. Upon termination, your right to use the services will immediately cease.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the services shall be resolved exclusively in the appropriate courts located in Delaware.

12. Indemnification

You agree to indemnify and hold harmless Beed Global, Inc. and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the services or violation of these Terms.

13. Modifications to the Service

We reserve the right to modify or discontinue the services at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the services.

14. Miscellaneous

Entire Agreement: These Terms, along with our Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and Beed Global, Inc.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms remain
